What Are Shares Outstanding?
Shares outstanding refers to the total number of a company's shares that have been issued and are currently held by all shareholders — including institutional investors, retail investors, and company insiders. It does not include treasury shares that the company has bought back and holds itself.
Shares outstanding is a foundational figure used to calculate market capitalization, earnings per share (EPS), and many other key metrics.
Shares Outstanding vs. Authorized vs. Float
- Authorized shares: The maximum number of shares a company is permitted to issue under its charter.
- Issued shares: Shares that have been sold to investors, including treasury shares.
- Outstanding shares: Issued shares minus treasury shares held by the company.
- Float: Outstanding shares minus restricted shares held by insiders.
Why It Matters
When a company issues new shares — through secondary offerings or stock-based compensation — the share count rises, diluting existing shareholders. Conversely, share buybacks reduce outstanding shares, increasing EPS and ownership percentages for remaining holders.
