Terms of Service
§ 1 Scope
(1) These Terms of Service (hereinafter "Terms") apply to all contracts between Jonas Schaller, Dietrich-Bonhoeffer-Str. 4, 97176 Konradsreuth, Germany (hereinafter "Provider") and the user (hereinafter "Customer") regarding the use of the web application "BlackSpecter" at blackspecter.com (hereinafter "Service").
(2) Deviating, conflicting, or supplementary terms of the Customer shall only become part of the contract if and to the extent the Provider has expressly agreed to their validity.
(3) The contract is concluded in English. German law applies.
§ 2 Subject of the Contract
(1) The Provider offers the Customer a web-based financial market terminal application that provides real-time market data, news, maps, and analysis tools.
(2) The scope of features depends on the selected plan. The following plans are available:
- Free Trial — Free trial access with limited functionality
- BlackSpecter PRO — Full access for $5.99 per month
(3) The Provider reserves the right to further develop, improve, and adapt the Service at any time. Significant restrictions to the scope of features will be announced with reasonable notice.
(4) The financial market data, prices, news, and analyses provided through the Service are for informational purposes only and do not constitute investment advice, recommendations, or solicitations to buy or sell financial instruments.
§ 3 Contract Conclusion and Registration
(1) The presentation of the Service on the website does not constitute a binding offer but an invitation to submit an offer.
(2) By registering, the Customer submits a binding offer to enter into a usage contract. The contract is concluded when the Provider confirms the registration by activating the account.
(3) The Customer must be at least 18 years old and have full legal capacity. The Customer agrees to provide truthful information and to keep their login credentials confidential.
§ 4 Prices and Payment
(1) The monthly price for BlackSpecter PRO is $5.99 (USD). The price is due at the beginning of each billing period. All prices include applicable VAT.
(2) Payment is processed through the payment service provider Stripe. By subscribing, the Customer authorizes recurring charges to their selected payment method.
(3) Price changes will be communicated to the Customer at least 30 days before taking effect via email. In the event of a price increase, the Customer has a special right of termination effective at the time of the price change.
(4) In the event of payment default, the Provider is entitled to restrict access to the PRO plan until the outstanding amount is settled.
§ 5 Term and Cancellation
(1) The subscription is concluded for an indefinite period and can be cancelled at any time, effective at the end of the current billing period.
(2) Cancellation can be made via the Stripe customer portal (accessible through the account area) or by email to jonas.schakon@gmail.com.
(3) The right to extraordinary termination for good cause remains unaffected.
(4) After cancellation, the account will be reset to the Free Trial scope of features. Stored data will be handled in accordance with our Privacy Policy.
§ 6 Right of Withdrawal (EU Consumers)
Right of Withdrawal
You have the right to withdraw from this contract within fourteen days without giving any reason. The withdrawal period is fourteen days from the day of the conclusion of the contract.
To exercise your right of withdrawal, you must inform us (Jonas Schaller, Dietrich-Bonhoeffer-Str. 4, 97176 Konradsreuth, Germany, Email: jonas.schakon@gmail.com) of your decision to withdraw from this contract by means of a clear statement (e.g., a letter sent by mail or an email).
To meet the withdrawal deadline, it is sufficient for you to send your communication concerning the exercise of the right of withdrawal before the withdrawal period has expired.
Effects of Withdrawal
If you withdraw from this contract, we shall reimburse all payments received from you without undue delay and at the latest within fourteen days from the day on which we received the notification of your withdrawal of this contract. For this reimbursement, we will use the same means of payment that you used for the original transaction, unless expressly agreed otherwise with you.
If you requested that the services should commence during the withdrawal period, you shall pay us a reasonable amount corresponding to the proportion of the services already provided up to the time you notify us of the exercise of your right of withdrawal, in comparison with the full coverage of the services provided for in the contract.
§ 7 Availability
(1) The Provider strives for high availability of the Service. However, there is no entitlement to uninterrupted accessibility. This excludes times when the Service is unavailable due to maintenance, force majeure, or disruptions beyond the Provider's control.
(2) Planned maintenance will be announced in advance whenever possible and scheduled during off-peak hours.
§ 8 Liability
(1) The Provider is liable without limitation for damages arising from injury to life, body, or health, as well as for damages caused intentionally or through gross negligence.
(2) In the case of slightly negligent breach of material contractual obligations (cardinal obligations), liability is limited to the foreseeable, contract-typical damage.
(3) Otherwise, liability for slightly negligent damages is excluded.
(4) The financial market data, news, and analyses provided through the Service are for informational purposes only and do not constitute investment advice. The Provider assumes no liability for the accuracy, completeness, or timeliness of the data displayed. The Customer acts at their own risk.
§ 9 Terms of Use
(1) The Customer agrees to use the Service only for lawful purposes and in accordance with these Terms.
(2) It is prohibited to systematically read, copy, redistribute, or use the Service or the data accessible through it for commercial purposes without the express permission of the Provider.
(3) The Provider is entitled to temporarily or permanently block the Customer's access in the event of a violation of these Terms of Use.
§ 10 Data Protection
The collection and processing of personal data is carried out in accordance with our Privacy Policy.
§ 11 Final Provisions
(1) The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).
(2) If the Customer is a merchant, a legal entity under public law, or a special fund under public law, the exclusive place of jurisdiction for all disputes arising from this contract is the Provider's place of business (Konradsreuth, Germany).
(3) Should individual provisions of these Terms be or become invalid or unenforceable, the validity of the remaining provisions shall not be affected (severability clause). The invalid or unenforceable provision shall be replaced by such valid and enforceable provision whose effects come closest to the economic objective pursued by the contracting parties with the invalid or unenforceable provision.
